Wanloo Terms of Service — Master Agreement (Plain-Language Template, Pending Legal Review)
These Terms of Service ("Terms") govern your use of the Wanloo platform (wanloo.ca), including the pet insurance and financing comparator, the marketplace Shop, the Services booking marketplace, the Adoption relay, the Wellness content, and the Seller/Provider portal. By creating an account or using any Wanloo service, you agree to these Terms and to the specific annex that applies to the vertical you use.
Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts of Ontario have non-exclusive jurisdiction, subject to the Consumer Rights section below.
Consumer rights carve-out. Nothing in these Terms limits or waives any right, remedy, warranty, or protection that cannot be waived under the consumer-protection law of the province or territory where you reside, including Quebec's Consumer Protection Act, Ontario's Consumer Protection Act, British Columbia's Business Practices and Consumer Protection Act, and their equivalents elsewhere in Canada. Where a provision of these Terms conflicts with such a mandatory right, that right prevails and the rest of these Terms continues to apply.
Severability. If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, it is severed and read down only to the extent necessary and only in that jurisdiction; the remaining provisions continue in full force and effect and remain enforceable in every other jurisdiction.
Courts stay open. We do not require you, as a consumer, to give up your right to go to court or to participate in a class proceeding, and we do not impose mandatory pre-dispute consumer arbitration.
Venue and role. Wanloo is an intermediary and, for some verticals, a comparator: we connect you to independent insurers, lenders, shelters, groomers, veterinarians, and other third-party providers ("Providers"). Unless a specific annex says Wanloo is the merchant of record, the contract for the underlying product or service is between you and the Provider, and Wanloo does not endorse any particular Provider.
Informational content. Educational articles, comparisons, and estimates are provided "as-is" for informational purposes only and do not replace professional advice. This informational-content limitation does not apply to goods you purchase through the Wanloo Shop, which are covered by the Shop annex.
Limitation of liability. To the maximum extent permitted by the mandatory consumer-protection law of the province or territory where you reside, Wanloo is not liable for indirect, incidental, special, or consequential damages, and our aggregate liability for any claim is capped at the greater of the fees you paid Wanloo in the twelve months before the claim, or CAD $100.
Your indemnity. You agree to indemnify Wanloo against claims arising from your breach of these Terms, your misuse of the platform, or content you submit.
Responsibility for your pet. You remain solely responsible for the health, safety, behaviour, and supervision of your pet at all times, including during any service, adoption, or interaction arranged through Wanloo.
Survival. The governing-law, carve-out, severability, liability, and indemnity sections survive termination of your account or these Terms.
Updates. We may update these Terms; material changes take effect no sooner than 30 days after notice, and continued use after that date means you accept the update. You can always view the version and effective date of these Terms and each annex that applies to you.
Language. You may request the French-language version of these Terms before accepting; for Quebec residents, in case of discrepancy between versions, the French version prevails.
